Terms of Service

1. Introduction and Acceptance

These Terms of Service ("Terms") govern your access to and use of NeuraLaunch, an AI-powered startup validation and execution platform available at startupvalidator.app and through the NeuraLaunch mobile applications for iOS and Android (collectively, the "Platform").

NeuraLaunch is a product of Tabempa Engineering Limited, a company registered and headquartered in Freetown, Sierra Leone (Registration No. SL110326TABEM29256, 82 Devil Hole, Waterloo) ("Tabempa Engineering," "we," "us," or "our").

By creating an account, accessing the Platform, or using any of its features, you ("you," "your," or "Founder") agree to be bound by these Terms. If you do not agree to these Terms, do not use the Platform.

We may update these Terms from time to time. If we make material changes, we will notify you via the email address associated with your account or through a prominent notice on the Platform at least 30 days before the changes take effect. Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the updated Terms.

2. Eligibility

You must be at least 18 years of age to use the Platform. By creating an account, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

The Platform is available to users globally. There are no geographic restrictions on who may use the Platform, subject to applicable international sanctions and export control laws.

3. Account Registration and Security

3.1 Account Creation

To access the Platform, you must create an account using one of the supported authentication methods (currently Google or GitHub OAuth). You agree to provide accurate, current, and complete information during the registration process.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately at info@tabempa.com if you become aware of any unauthorised use of your account. We are not liable for any loss or damage arising from your failure to maintain the security of your account.

3.3 One Person, One Account

Each account is for a single individual. You may not share your account credentials with others or allow multiple individuals to use a single account. If you need multiple users to access the Platform, each person must create their own account with their own subscription.

4. Description of the Platform

NeuraLaunch is an AI-powered platform that provides startup validation, strategic recommendation, execution planning, and ongoing advisory support. The Platform uses artificial intelligence agents powered by third-party language model providers (including Anthropic and Google) to deliver its services.

4.1 Core Services

The Platform provides the following services, subject to your subscription tier:

Discovery Interview: An AI-conducted interview that gathers context about your situation, goals, skills, constraints, and aspirations to build a comprehensive understanding of your circumstances.

Recommendation: A single, committed strategic recommendation with supporting reasoning, assumptions, risks, and rejected alternatives, generated through AI synthesis of your interview data.

Pushback System: An adversarial dialogue system (up to 7 rounds) where you can challenge, question, or disagree with the recommendation and the AI will defend, refine, or replace its recommendation based on the merits of your argument.

Execution Roadmap: A phased, task-level execution plan tailored to your available time, resources, and constraints.

Internal Execution Tools:

  • Conversation Coach: AI-powered preparation and rehearsal for high-stakes business conversations, including script generation, objection handling, and role-play simulation.
  • Outreach Composer: AI-generated outreach messages for WhatsApp, email, and LinkedIn in single, batch, and sequence modes.
  • Research Tool: Deep, multi-source market research with cited findings, contact information, and actionable insights.
  • Service Packager: AI-generated service packaging with tiered pricing, revenue scenarios, and shareable service briefs.

Check-in System: Per-task progress tracking with AI-powered responses, pattern detection, and recalibration offers when execution evidence suggests a change in direction may be warranted.

Continuation System: End-of-cycle interpretation of execution outcomes, including a structured brief that assesses what happened, what assumptions were wrong, what the evidence suggests, and what the recommended next directions are.

Voice Mode: Voice-enabled interaction with the Platform's AI agents, including voice-conducted interviews, voice check-ins, and voice-enabled tool interactions. Voice data is transcribed, processed, and stored as text alongside the voice session.

Cross-Session Memory: Persistent memory across multiple discovery and execution cycles, allowing the Platform's AI agents to reference your prior execution history, outcomes, and learnings when providing new recommendations and guidance.

Validation Landing Page: For software-oriented recommendations, a live, deployed landing page with analytics, email capture, and feature interest tracking to validate market demand before development.

4.2 AI-Powered Nature of Services

All recommendations, roadmaps, scripts, messages, research reports, pricing packages, and other outputs generated by the Platform are produced by artificial intelligence systems. While we strive to deliver high-quality, contextually relevant outputs, the Platform does not guarantee the accuracy, completeness, or suitability of any AI-generated content for your specific circumstances.

The Platform does not provide licensed professional advice in any regulated field, including but not limited to legal advice, financial advice, investment advice, tax advice, medical advice, or accounting services. AI-generated outputs should not be treated as a substitute for consultation with qualified professionals where such consultation is warranted.

5. Subscription Tiers and Pricing

5.1 Free Tier

The Free tier provides access to the full discovery interview and one committed recommendation at no cost. The Free tier does not include access to the execution roadmap, pushback system, internal execution tools, check-in system, continuation system, voice mode, or cross-session memory.

The Free tier is available indefinitely. We reserve the right to modify the features included in the Free tier with 30 days' notice.

5.2 Paid Tiers

The Platform offers the following paid subscription tiers:

Execute Tier — $29 per month or $279 per year Includes everything in the Free tier, plus: pushback (up to 7 rounds), full execution roadmap, all four internal execution tools (Conversation Coach, Outreach Composer, Research Tool, Service Packager), task-level check-ins and diagnostic help, recalibration offers, continuation brief at end of cycle, and fork selection for the next cycle. Limited to one active execution cycle at a time.

Compound Tier — $49 per month or $479 per year Includes everything in the Execute tier, plus: cross-session memory (persistent AI context across cycles), voice mode, validation landing page with build brief, up to three concurrent active roadmaps, and priority processing on research and synthesis calls.

Pricing is stated in United States Dollars (USD). Applicable taxes are calculated and collected by our payment processor, Paddle, as the Merchant of Record (see Section 6).

We reserve the right to change subscription pricing with at least 30 days' advance notice. Price changes will not affect your current billing cycle and will take effect at the start of the next billing cycle following the notice period. Founding member rates, where applicable, are exempt from price increases for the lifetime of the subscription.

5.3 Founding Member Rates

From time to time, we may offer permanently discounted "Founding Member" rates to a limited number of early subscribers. Founding member pricing is guaranteed for the lifetime of the continuous subscription. If a founding member cancels their subscription, the founding member rate is forfeited and any subsequent resubscription will be at the then-current standard pricing.

5.4 Annual Subscriptions

Annual subscriptions are billed as a single upfront payment for twelve months of access. Annual subscriptions are non-refundable after the first 14 days (see Section 7). At the end of the annual term, the subscription will automatically renew at the then-current annual rate unless cancelled before the renewal date.

6. Payment Processing

6.1 Merchant of Record

All payment processing for the Platform is handled by Paddle.com Market Limited ("Paddle"), which acts as the Merchant of Record for all transactions. When you purchase a subscription, your legal purchase relationship for payment purposes is with Paddle, not with Tabempa Engineering Limited.

Paddle handles all payment processing, billing, invoicing, consumption tax calculation and collection (including VAT, sales tax, and GST where applicable), chargebacks, and payment disputes. Paddle's terms of service and privacy policy apply to the payment transaction and can be found at paddle.com.

6.2 Payment Methods

Paddle accepts major credit and debit cards (Visa, Mastercard, American Express), PayPal (where available in your region), Apple Pay, Google Pay, and select local payment methods depending on your location. The specific payment methods available to you are determined by Paddle based on your geographic location.

6.3 Billing Cycle

Monthly subscriptions are billed on the same date each month (or the nearest available date if the billing date does not exist in a given month). Annual subscriptions are billed on the anniversary of the initial purchase date. You authorise Paddle to charge your selected payment method on each billing date.

6.4 Failed Payments

If a payment fails, Paddle will attempt to process the payment using its automated retry schedule. During the retry period, your access to paid features may be temporarily suspended. If all retry attempts fail, your subscription will be cancelled and your account will revert to the Free tier. Your data will be retained for 90 days following cancellation, during which time you may resubscribe to regain access.

6.5 Currency

All prices are displayed in United States Dollars (USD). Paddle may display approximate local currency equivalents during checkout for your convenience. The actual charge to your payment method will be processed by Paddle and may be subject to currency conversion fees imposed by your card issuer or bank. Tabempa Engineering has no control over and accepts no liability for currency conversion fees.

7. Cancellation and Refunds

7.1 Cancellation

You may cancel your subscription at any time through the Paddle customer portal or by contacting us at info@tabempa.com. Upon cancellation:

  • Monthly subscriptions: Your access to paid features continues until the end of the current billing period. No further charges will be made.
  • Annual subscriptions: Your access to paid features continues until the end of the current annual term. No further charges will be made at renewal.

Cancellation does not delete your account or your data. Your account reverts to the Free tier and your historical data (discovery sessions, recommendations, roadmaps, check-in history, tool sessions) remains accessible in read-only mode.

7.2 Refunds

Monthly subscriptions: Monthly subscriptions are non-refundable. You may cancel at any time to prevent future charges.

Annual subscriptions: You may request a full refund within 14 days of your initial annual purchase or annual renewal. After 14 days, annual subscriptions are non-refundable. Refund requests should be directed to info@tabempa.com or processed through the Paddle customer portal.

Founding member subscriptions: Founding member subscriptions follow the same refund policy as standard subscriptions. However, if a founding member cancels and the founding member rate is forfeited, no refund of the rate difference will be provided upon resubscription at standard pricing.

8. Ownership of AI-Generated Content

8.1 Your Content

You retain full ownership of all content you provide to the Platform, including but not limited to: your responses during the discovery interview, your check-in messages, your descriptions provided to the internal tools, and any other text, data, or information you input.

8.2 AI-Generated Outputs

All content generated by the Platform's AI agents in response to your inputs — including recommendations, roadmap tasks, conversation scripts, outreach messages, research reports, service packages, check-in responses, continuation briefs, and any other AI-generated outputs — belongs to you. You may use, modify, reproduce, distribute, and build upon these outputs for any lawful personal or commercial purpose without restriction.

Tabempa Engineering retains no ownership rights over the specific AI-generated outputs produced for your account. We do not claim any license to use your specific outputs for any purpose other than providing the Platform's services to you, unless you explicitly opt in to data sharing (see Section 9).

8.3 Platform Intellectual Property

The Platform itself — including its software code, user interface design, agent architectures, prompt engineering, algorithms, brand identity, documentation, and trade secrets — remains the exclusive intellectual property of Tabempa Engineering Limited. Your subscription grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for its intended purpose. This license does not grant you any rights to the underlying technology, source code, or methodologies of the Platform.

9. Data Collection, Use, and Privacy

9.1 Data We Collect

In the course of providing the Platform's services, we collect and process the following categories of data:

Account data: Name, email address, and profile information provided through your OAuth provider (Google or GitHub).

Interview and session data: Your responses during the discovery interview, the extracted belief state dimensions, and the complete interview transcript.

Recommendation data: The AI-generated recommendation, its reasoning, assumptions, risks, rejected alternatives, and any pushback conversation history.

Roadmap and execution data: Your execution roadmap, task statuses, check-in history (including your messages and the AI agent's responses), tool session data (Conversation Coach sessions including role-play transcripts, Outreach Composer sessions including generated and sent messages, Research Tool sessions including queries and findings, Service Packager sessions including pricing and briefs), parking lot ideas, and continuation briefs.

Voice data: When using voice mode, your voice input is transcribed into text using third-party speech-to-text services. The transcribed text is processed and stored. Raw audio may be temporarily processed for transcription but is not permanently stored.

Cross-session memory data: Aggregated context from your prior discovery and execution cycles that is used to inform subsequent AI interactions.

Research data: Queries submitted to external research providers (Exa and Tavily) on your behalf, and the results returned by those providers. Research queries and result summaries are logged for audit purposes.

Validation page data: If you use the validation landing page feature, visitor analytics (page views, scroll depth, email signups, survey responses, feature interest clicks) associated with your validation page.

Usage data: Technical information about how you interact with the Platform, including device information, access times, and feature usage patterns.

9.2 How We Use Your Data

We use your data exclusively for the following purposes:

  • Providing the Platform's services: Your data is processed by our AI agents to generate recommendations, roadmaps, tool outputs, check-in responses, and continuation briefs. This is the core function of the Platform.
  • Maintaining cross-session memory: With a Compound subscription, your historical session data is used to inform future AI interactions within your account.
  • Platform improvement (anonymised and aggregated only): We may analyse anonymised, aggregated patterns across all users to improve the quality of the Platform's AI agents, question selection, recommendation accuracy, and tool outputs. This analysis never uses individually identifiable data. No individual session content, personal details, or specific outputs are used for this purpose.
  • Communication: We may use your email address to send essential account notifications (subscription changes, service updates, security alerts). We will not send marketing communications without your explicit opt-in consent.

9.3 Training Data Opt-In

The Platform includes an optional training data consent mechanism. If you explicitly opt in, anonymised versions of your outcome data (whether a recommendation led to success, partial success, or did not work) may be used to improve the Platform's recommendation and synthesis accuracy. This opt-in is disabled by default. You may change your preference at any time in your account settings. Opting out does not affect the quality of service you receive.

Anonymisation includes: removal of all personally identifiable information (names, email addresses, phone numbers), country-level geographic bucketing (not city or address level), and removal of specific business names and identifying details.

9.4 Third-Party Data Processors

To provide the Platform's services, your data is processed by the following third-party services:

We require all third-party processors to maintain appropriate security measures and to process your data only for the purposes specified by us. We do not sell your data to any third party.

9.5 Data Retention

Your data is retained for as long as your account is active. If you cancel your subscription, your data is retained in read-only mode for 90 days to allow for resubscription. After 90 days of account inactivity following cancellation of all paid subscriptions, we may delete your execution data (roadmaps, check-ins, tool sessions) while retaining your account and discovery session data indefinitely or until you request deletion.

9.6 Data Deletion

You may request complete deletion of your account and all associated data by contacting us at info@tabempa.com. Upon receiving a verified deletion request, we will:

  • Delete your account and all associated data from our primary database within 30 days
  • Remove your data from backup systems within 90 days
  • Request deletion of your payment data from Paddle
  • Note that data already processed by third-party AI providers (Anthropic, Exa, Tavily) is subject to those providers' own data retention policies, which are outside our control

Deletion is permanent and irreversible. We cannot recover deleted data.

10. Acceptable Use

10.1 Permitted Use

The Platform is intended for use by individuals and businesses seeking guidance on business strategy, validation, execution, and growth. You may use the Platform for any lawful personal or commercial purpose consistent with its intended function.

10.2 Prohibited Use

You agree not to:

  • Use the Platform to generate content that is illegal, fraudulent, defamatory, obscene, or harmful
  • Attempt to manipulate, deceive, or exploit the Platform's AI agents through prompt injection, adversarial inputs, or social engineering
  • Use the Platform to generate spam, bulk unsolicited messages, or content intended to harass or harm others
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code, algorithms, or proprietary prompts of the Platform
  • Share your account credentials with others or allow unauthorised access to your account
  • Use automated tools, bots, or scripts to access the Platform in a manner that exceeds reasonable human usage
  • Resell, redistribute, or sublicense access to the Platform or its outputs without our written permission
  • Use the Platform for any purpose that violates applicable laws or regulations in your jurisdiction

10.3 Content Standards

Content you provide to the Platform must not include information that facilitates illegal activity, promotes violence or harm, contains child exploitation material, or violates the rights of others. We reserve the right to suspend or terminate accounts that violate these standards.

11. Limitation of Liability

11.1 AI Recommendations Are Guidance

The Platform provides AI-generated strategic guidance and execution support. All recommendations, roadmaps, scripts, research findings, pricing suggestions, and other outputs are generated by artificial intelligence systems and are intended as informational guidance only.

You are solely responsible for all business decisions you make. The Platform does not guarantee any specific business outcome, revenue, profit, or success. A recommendation to pursue a particular business direction is the AI system's assessment based on the information you provided — it is not a promise that the direction will succeed.

11.2 No Warranty

The Platform is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.

We do not warrant that:

  • The Platform will be uninterrupted, error-free, or secure
  • AI-generated outputs will be accurate, complete, or suitable for your purposes
  • Research findings will be current, comprehensive, or free from errors
  • The Platform will be compatible with all devices or operating systems

11.3 Limitation of Damages

To the maximum extent permitted by applicable law, Tabempa Engineering Limited, its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of business opportunity, or loss of goodwill, arising out of or in connection with your use of the Platform.

Our total aggregate liability for any claims arising out of or related to these Terms or the Platform shall not exceed the total amount you paid to us (through Paddle) in the twelve (12) months preceding the claim.

11.4 Third-Party Services

The Platform relies on third-party services (including AI model providers, search APIs, hosting providers, and payment processors) to deliver its functionality. We are not liable for any failure, interruption, or degradation of service caused by third-party providers. If a third-party service becomes unavailable, we will make reasonable efforts to restore functionality but do not guarantee uninterrupted service.

12. Indemnification

You agree to indemnify, defend, and hold harmless Tabempa Engineering Limited, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

  • Your use of the Platform
  • Your violation of these Terms
  • Your violation of any applicable law or regulation
  • Any content you provide to the Platform
  • Any business decisions you make based on the Platform's outputs

13. Intellectual Property and Feedback

13.1 Feedback

If you provide feedback, suggestions, or ideas about the Platform ("Feedback"), you grant us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free license to use, modify, and incorporate that Feedback into the Platform without any obligation to you. Feedback does not include your personal session data or AI-generated outputs specific to your account.

13.2 Trademarks

"NeuraLaunch," the NeuraLaunch logo, and "From Lost to Launched" are trademarks of Tabempa Engineering Limited. You may not use these trademarks without our prior written permission, except to accurately refer to the Platform in a descriptive context.

14. Suspension and Termination

14.1 Suspension by Us

We may suspend your access to the Platform immediately and without prior notice if:

  • You violate these Terms or the Acceptable Use policy
  • Your account is involved in fraudulent or illegal activity
  • Your use of the Platform poses a security risk to the Platform or other users
  • Required by law or legal process

We will make reasonable efforts to notify you of a suspension and the reasons for it, except where prohibited by law.

14.2 Termination by Us

We may terminate your account if:

  • Your account has been suspended and the underlying issue has not been resolved within 30 days
  • You are in material breach of these Terms
  • Required by law or legal process

Upon termination, your access to the Platform ceases immediately. Your data will be retained for 30 days following termination to allow you to request an export, after which it will be deleted.

14.3 Termination by You

You may terminate your account at any time by contacting us at info@tabempa.com. Termination by you is equivalent to a data deletion request (see Section 9.6) unless you specify otherwise.

15. Dispute Resolution

15.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of Sierra Leone, without regard to its conflict of law principles.

15.2 Informal Resolution

Before initiating any formal dispute resolution, you agree to contact us at info@tabempa.com and attempt to resolve the dispute informally within 30 days.

15.3 Jurisdiction

Any disputes arising out of or in connection with these Terms that cannot be resolved informally shall be submitted to the exclusive jurisdiction of the courts of Freetown, Sierra Leone. You irrevocably consent to the jurisdiction of these courts and waive any objection to venue.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Tabempa Engineering Limited regarding your use of the Platform.

16.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

16.3 Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

16.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

16.5 Force Majeure

We shall not be liable for any failure to perform our obligations under these Terms where such failure results from circumstances beyond our reasonable control, including but not limited to natural disasters, wars, pandemics, government actions, internet disruptions, or failures of third-party service providers.
